Terms & Conditions

Every project begins with an agreed scope covering the work, deliverables, price and expected timeline. Requests that materially extend or change the agreed scope may be quoted separately and will only proceed once approved.

Minor refinements reasonably connected to the agreed project are handled as part of the normal design and development process.

Payment terms are set out in your project proposal or invoice. Unless agreed otherwise, any required deposit must be paid before work begins and the remaining balance must be paid before the completed website is launched or transferred.

Hosting and ongoing website management are currently included with Vesper Studio website projects at no additional charge unless otherwise agreed in writing.

Any third-party costs that are not expressly included in the proposal, such as domain registrations, paid software, premium plugins, licences, stock assets or external services, remain the client's responsibility.

You agree to provide information, content, images, approvals and feedback reasonably required to complete the project.

You are responsible for ensuring that materials you provide can lawfully be used, including text, images, logos, trademarks and other intellectual property.

Delays in receiving required content, access, approvals or feedback may affect the project timeline.

Most Vesper Studio websites are designed and launched within approximately two weeks once the information, content and feedback required for the project are supplied on schedule.

Larger or more complex projects may take longer. Any timeframe provided is an estimate unless a specific deadline has been agreed in writing.

Reasonable revisions within the agreed project scope are included during the design and development process.

Significant changes in direction, new functionality, additional pages or work outside the agreed scope may require additional time and may be quoted separately. We will discuss this with you before carrying out additional chargeable work.

Once the project has been paid for in full, you own the final website content and project-specific design work created specifically for your business, subject to any third-party rights or licences.

Vesper Studio retains ownership of its pre-existing tools, processes, systems, reusable components, development methods and other materials used across projects.

Third-party software, fonts, libraries, plugins, stock assets and similar materials remain subject to their respective licences and ownership terms.

Unless otherwise agreed, Vesper Studio may display completed work in its portfolio, website, social media and promotional materials.

Vesper Studio currently provides hosting and ongoing website management for websites we build at no additional charge unless otherwise agreed.

This includes reasonable content updates, routine maintenance, backups and general website support.

Ongoing management does not automatically include substantial redesigns, new pages, new functionality, major content production or other work that amounts to a new project or material expansion of the original website. If additional work falls outside reasonable ongoing management, we will discuss it with you before proceeding.

We take reasonable steps to maintain reliable website availability and performance, but cannot guarantee uninterrupted operation where services depend on hosting infrastructure, domain providers, internet services, third-party platforms or circumstances outside our reasonable control.

Websites may rely on third-party platforms and services such as domain registrars, hosting infrastructure, analytics, forms, maps, booking systems, payment providers, social platforms or other integrations.

Vesper Studio is not responsible for outages, changes, discontinuation, pricing changes or other issues caused by third-party services outside our reasonable control.

If either party decides to end the ongoing hosting or management arrangement, we will reasonably cooperate with the transition of the website to another provider, subject to any outstanding payments and technical or third-party limitations.

Any external costs involved in transferring, reconfiguring or hosting the website elsewhere may be the client's responsibility.

Nothing in these terms excludes, restricts or modifies any right or remedy that cannot lawfully be excluded, including rights under the Australian Consumer Law.

To the extent permitted by law, Vesper Studio is not liable for indirect or consequential loss arising from the services or from circumstances outside our reasonable control.

Where liability can lawfully be limited, our liability in connection with a particular project will not exceed the amount paid to Vesper Studio for the services giving rise to the claim.

These terms are governed by the laws of New South Wales, Australia.
